Microsoft $25 billion bond sale

Microsoft has returned to the US investment-grade bond market for the first time since 2017, raising $25 billion across a 10-part debt offering.

The issuance attracted massive investor appetite, generating over $115 billion in peak orders—about 4.6 times the available allotment.

The landmark borrowing comes shortly after Microsoft extended a voluntary buyout offer to roughly 60,000 eligible employees across India, the US, Canada, and the UK. While the simultaneous moves have drawn scrutiny, Microsoft clarified that its debt issuance is strictly driven by long-term capital deployment for artificial intelligence infrastructure rather than liquidity shortages.

For the quarter ended September 30, Microsoft posted $92.3 billion in revenue, backed by $58 billion in operating cash flow and $64.5 billion in cash reserves.

However, accelerating demand for cloud and AI capabilities has pushed capital expenditure projections higher, with spending expected to top $50 billion in the December quarter and reach around $170 billion for calendar 2026.

Chief Financial Officer Amy Hood noted that accessing debt markets allows Microsoft to preserve operational cash flexibility while maintaining its AAA credit standing.

Ultimately, the bond sale highlights Microsoft’s strategy to aggressively scale compute infrastructure to support skyrocketing Azure demand.
