Tata Trusts Row Deepens: Noel Tata and Son Neville Move Bombay High Court With Caveats Amid Governance Dispute

The corporate governance dispute within Tata Trusts has escalated significantly as Tata Trusts Chairman Noel Tata and his son, Neville Tata, have filed caveats in the Bombay High Court.

The legal precautionary move follows similar filings made by the duo in the Mumbai City Civil Court on October 7, 2026, as tensions persist over the administration of the Sir Dorabji Tata Trust (SDTT).

Nature of the Caveats and Named Parties

A caveat is a formal legal notice requesting courts to ensure that the party filing it is given an opportunity to be heard before any ex-parte orders are passed.

According to sources, the latest filings in the Bombay High Court name co-trustees Venu Srinivasan, Vijay Singh, Darius Khambata, and Bhaskar Bhat as caveatees, with the inclusion of Khambata and Bhat noted as procedural steps by Tata Trusts representatives.

The legal filings come as multiple trusts within the Tata Group umbrella have already filed 84 caveats before the Maharashtra Charity Commissioner, anticipating legal challenges following forthcoming regulatory decisions.

Roots of the Boardroom Dispute

The legal maneuver stems from a complaint filed before the Maharashtra Charity Commissioner by SDTT trustees Venu Srinivasan and Vijay Singh regarding alleged governance lapses and the validity of Circular Resolution No. 107, which Srinivasan claimed was an attempt to neutralise his independent voting position.

Key friction points underlying the dispute include:

  • Governance and Perpetual Trusteeship: Questions over whether perpetual trustee appointments comply with recent amendments to the Maharashtra Public Trusts Act.
  • Tata Sons Listing Debate: Underlying disagreements concerning the strategic future of holding company Tata Sons—which holds a 66 percent stake controlled by Tata Trusts—particularly regarding proposals for a public listing versus exploring alternative philanthropic preservation models advocated by Noel Tata.

Charity Commissioner Extension

On Tuesday, Tata Trusts secured an extension from the Maharashtra Charity Commissioner until October 19, 2026, to formally submit its response to the Srinivasan-Singh complaint.

While regulatory and legal proceedings continue, legal experts emphasize that the filings and complaints do not constitute established findings of wrongdoing.
